Commercial License for "FLT" Repository

This Commercial License is a legal agreement between you (the "Licensee"), acting as a "Commercial User", and the owner of the "FLT" Repository (the "Repository Owner"). The "Code" refers to the original source files, in whole or in part, contained in the "FLT" Repository, or compiled forms thereof. By acquiring this Commercial License, you are granted the right to distribute the Code from the "FLT" Repository, subject to the following terms and conditions:

  1. Grant of Distribution Rights:

    The Repository Owner grants the Licensee a worldwide, royalty-free, non-exclusive, non-transferable license to distribute the Code contained in the "FLT" Repository.

  2. One-time Nominal Fee:

    a. To acquire this Commercial License, the Licensee shall pay a one-time nominal fee to the Repository Owner, as agreed upon between the parties.

    b. The purpose of the fee is to offset the Repository Owner's costs in managing the increased support load and the time critical nature of tasks associated with Commercial Users.

  3. Usage Limitation:

    a. The Licensee may distribute the Code to third parties or end users, subject to compliance with the terms of this Commercial License.

    b. The Licensee is responsible for ensuring that third parties and end users are made aware of the Commercial and Individual Licenses and the terms and conditions set forth herein.

  4. Code Modification:

    a. The Licensee is required to ensure that if the Code is modified prior to distribution, then the comments at the top of the modified file should be appended with the specific revisions made and correct contact information regarding these modifications.

    b. The existing comments at the top of each source and header file with headings "Contents", "Repository", and "Contact" should not be altered.

    c. It is preferable to make any revisions through the existing mechanisms provided by GitHub, where they may benefit all users.

  5. No Warranty:

    The Code provided under this Commercial License is provided "as is," without any warranties or guarantees of its functionality, reliability, or fitness for any particular purpose.

  6. Compliance with Individual License:

    The Licensee shall comply with all the terms and conditions of the Individual License associated with the "FLT" Repository in addition to the terms set forth in this Commercial License.

  7. Acting in Good Faith:

    The Repository Owner and Licensee agree to act in good faith, including, but not limited to: demonstrating honesty and fairness in all dealings, fulfilling obligations with diligence and integrity, adhering to established standards of fair practice, and refraining from any actions that could be construed as deceptive or fraudulent.

  8. Termination:

    The Repository Owner reserves the right to terminate this Commercial License if the Licensee is found in violation of the terms set forth herein or the Individual License.

  9. Entire Agreement:

    This Commercial License and Individual License constitute the entire agreement between the Licensee and the Repository Owner regarding the Code in the "FLT" Repository.
